Who signs on MCA21, and with what
The Ministry of Corporate Affairs portal (MCA21, now in its V3 version) works differently from GST or income tax: there is no OTP fallback for the people who sign company and LLP e-forms. Signing means a Class 3 DSC on a USB token, and the portal recognises three kinds of signatories, each associated a different way:
- Directors and designated partners — associate their DSC against their DIN (Director Identification Number).
- Practicing professionals (CA, CS, CMA) — associate against their institute membership number, since they certify most forms alongside the company's own signatory.
- Other users — associate with PAN (for example an authorised employee filing certain forms).
Note what is not on that list: an Organization DSC. Unlike e-tender portals, MCA associates a personal signing certificate with an individual role. The company does not hold a DSC — its directors do. That distinction decides what you should buy, so if you are unsure, ask us before ordering.
Which MCA filings need the DSC
Practically everything that reaches the Registrar of Companies is DSC-signed. The three you will meet first:
- SPICe+ incorporation. Forming a company starts with the proposed directors' DSCs — they are needed before the entity exists. If you are incorporating now, ordering the DSCs is day-one work, alongside planning GST registration for the new entity.
- Annual ROC filings. The yearly financial-statement and annual-return forms are signed by a director and certified by a professional, both with their own DSCs.
- DIR-3 KYC. Every DIN holder's annual KYC form is signed with the director's own DSC and certified by a practicing professional — confirm the current form instructions on the official MCA portal, as requirements are updated from time to time.
Directors of dormant or small companies are often surprised that DIR-3 KYC applies to them too — holding a DIN is enough, even with no active filings. That yearly deadline is the most common reason a lapsed DSC suddenly becomes urgent.
Associating the DSC on the MCA portal
A DSC that has not been associated on MCA21 cannot sign an MCA form, even if it works perfectly elsewhere. Association is done once per certificate through the Register DSC service on the MCA portal, found under your logged-in profile on V3. The broad flow: install the token drivers and the MCA signing utility, log in, open Register DSC, pick your role (DIN holder, professional, or PAN user), enter the identifying number, and complete the association with the token plugged in. The portal's own help pages carry the current screens — MCA V3 has changed layouts more than once, so treat the exact menu path as something to confirm on mca.gov.in rather than memorise.
Repeat the same service after every renewal: a renewed DSC is a brand-new certificate, and the portal keeps trying to match the old one until you update it. Doing this a week before your annual filing window, not during it, is the single best habit for MCA deadlines.
DIN name-match problems — the classic MCA failure
The most common association failure we see is a name mismatch. When you register as a DIN holder, the portal checks the certificate's details against your DIN record (and PAN for PAN-based users). If the DSC was issued as "N. J. Parmar" but the DIN record says "Nareshbhai Jashbhai Parmar" — or the surname order differs, or a middle name is missing — the association can fail even though both refer to the same person.
- Prevention: we issue the DSC with the name exactly as per PAN, which is what DIN and MCA records are built on. This avoids the problem in almost every case.
- If records themselves disagree (PAN says one spelling, DIN another), the record needs correcting before the DSC can associate — we help identify which one is wrong and what update to file.
- Other blockers: expired certificate still associated, token drivers or the MCA utility missing on the filing computer, or a locked token PIN. Our common DSC errors guide covers the fixes.
When you do not need an MCA DSC
Not a director, designated partner or certifying professional? You do not need an MCA DSC. Proprietorships and ordinary partnerships do not file on MCA at all. And if you already hold a valid Class 3 DSC for GST or income tax, you do not need a second one for MCA — the same individual certificate can be associated there too.
What we cannot do: we are a facilitation centre, not a Certifying Authority and not connected to MCA. We cannot issue a DIN, bypass video verification, or guarantee the portal accepts an association or filing — that rests with MCA. Certificates are issued by CCA-licensed CAs after their own checks.
